Case Overview

Our corporate lawyers assisted Adlington's in-house legal team with the full refinancing of its development finance facility, which will support Adlington's growth plans and help meet the demand for specialist later living accommodation in the UK.

Adlington negotiated a £75 million refinance with NatWest and Homes England. Myerson acted on the negotiation of the facility which required extensive consideration and negotiation given the complexity of the transaction and the parties involved.

Alongside the negotiation of the facility, Myerson was also required to negotiate a full security suite.

Completion of the transaction was not only important for Adlington's in-house team, but also for the sector as a whole, as it marked the first time Homes England had supplied financing to a specialist integrated retirement community developer.

Tata Chemicals Europe is a leading chemical manufacturer based in Northwich, Cheshire, and part of the global Tata Group. The company, which includes British Salt Limited, is one of Europe’s foremost producers of soda ash (sodium carbonate), salt, and sodium bicarbonate. Its products are manufactured across three sites in Cheshire to international quality standards and are used in a wide range of industrial applications, including glass production, food processing, pharmaceuticals, detergents, and animal feed.

Phil Davies, General Counsel and Compliance Director at Tata Chemicals Europe, holds a broad and strategically important role.
