EIS and SEIS Legal Advice
Our EIS and SEIS Service
Our EIS and SEIS legal services cover the full SEIS / EIS lifecycle, from early eligibility checks (together with your Tax advisors) through to investment compliance.
EIS and SEIS schemes are HMRC-approved schemes which can provide tax reliefs for individuals who decide to invest in shares in certain qualifying companies..
EIS and SEIS schemes exist to encourage individuals to invest in small, higher-risk trading companies to help such companies raise funding through equity (rather than debt), supporting growth in the early years and encouraging a long-term trade focus.
How Our Corporate Solicitors Can Help with EIS and SEIS
If you need EIS / SEIS support, our Corporate solicitors can help you plan the workstream, manage costs and keep the process moving.
Our experienced corporate solicitors advise both investors and growing businesses on structuring and implementing EIS and SEIS investments.
Whether you are seeking to raise capital or looking to invest in a qualifying company, we provide practical and commercially focused legal advice to help you navigate the process with confidence. We can also refer you to tax advisers experienced in working on EIS and SEIS investments.
We regularly assist:
Companies seeking investment
- Start-ups and early-stage businesses looking to raise capital under SEIS
- Growing companies raising larger funding rounds through EIS
- Businesses requiring pre-investment restructuring to ensure they meet HMRC eligibility requirements (including advance subscription agreements)
- Founders needing advice on share structures and rights to shares.
Investors and investment groups
- Angel investors and high-net-worth individuals looking to benefit from EIS or SEIS tax reliefs
- Investors requiring due diligence and advice on protecting their interests and reviewing the case-specific risk profile
Professional advisers and intermediaries
- Accountants and tax advisers seeking legal support to ensure their clients’ investments remain EIS/SEIS compliant
Corporate finance advisers
Assisting clients with fundraising rounds involving tax-advantaged investment schemes.
Our team can support you throughout the full lifecycle of an EIS or SEIS investment, including:
- Structuring investments to meet HMRC requirements
- Preparing and reviewing investment agreements, subscription agreements and shareholder documentation
- Drafting or amending articles of association
- Advising on investor rights, protections and exit provisions
- Supporting companies through the fundraising process and completion of investment rounds, including when new shares are issued and how the equity is allocated to each member
By working closely with your tax advisers and financial professionals, we ensure that both the investor and the company meet the relevant requirements so that the valuable tax reliefs available under EIS and SEIS are preserved.
If a problem or issue is identified, we set out options and the likely risk, so you are able to make a decision with a clear plan.

Our Experience with EIS and SEIS
We have acted for many investors and investee companies in relation to EIS and SEIS investments, including the following recent transactions:
- Acting for an investor in relation to an investment in an online luxury goods marketplace which involved both an SEIS investment and an EIS investment
- Acting for a food recipe box business in respect of raising both SEIS and EIS funds from various investors, including utilising an Advanced Subscription Agreement
- Advising an investor in relation to an EIS investment in a wine import business
- Advising an investor in relation to an SEIS and EIS investment in a financial advisory business
- Restructuring a company starting a dog café business so that it qualified for SEIS and EIS investment and advising on and managing the fundraising process
Our Approach to EIS and SEIS
It is crucial to ensure that during the process of setting up the structure and carrying out the fundraising, the correct procedures are followed so that investors do not lose the benefit of the relevant relief and are able to claim it when due and the company gets the investment it is seeking. For example:
- Ensuring that the company’s share capital is appropriate
- Drafting articles of association so that they qualify for the relevant relief, whilst making sure that the relevant parties have suitable protections and restrictions
- If both SEIS and EIS investments are being offered at the same time, ensuring they are carried out in the correct order
- Preventing any associations between the investors and the company prior to the date of the investment, particularly in relation to directorships and loans
We also check the position on employees, directors or other member connections, and any arrangements that could be viewed as falling foul of the rules.
