For many commercial agents, the end of an agency agreement may come not through resignation or dismissal, but through retirement, ill health or death.

The Commercial Agents (Council Directive) Regulations 1993 (“the Regulations”) provide agents with statutory rights to compensation or an indemnity on termination, but how do these rights apply in such personal and significant circumstances?

What happens if I want to retire as a commercial agent – do I get any money?

If you are a self-employed individual acting as a commercial agent and you retire due to old age or ill health, you are entitled to claim either compensation or an indemnity payment from your principal under the Regulations. 

However, if you retire early (before the standard retirement age and not on health grounds), you are unlikely to be entitled to a termination payment under the Regulations.

Each case will depend on the individual circumstances and the reason for ending the agency. 

This right to retire applies only to individuals. Companies acting as commercial agents do not benefit from these provisions, as they cannot legally “retire” or experience ill health.

What happens if I die while acting as a commercial agent – can my estate claim against my principal? 

If an individual agent dies during the course of their agency, their estate is entitled to a termination payment from the principal under the Regulations.

This entitlement reflects the value the agent brought to the principal during their period of representation and serves as a continuation of their statutory rights. 


The estate would be able to claim either compensation or an indemnity, depending on the specific circumstances and any provisions that were agreed in the agency contract.

Can a principal force me to retire? 

No, a principal cannot lawfully force a commercial agent to retire. 

If a principal attempts to bring an agency agreement to an end on the grounds of age or without proper justification, the termination is likely to give rise to a claim for compensation or indemnity under the Regulations.
