If you are a landowner and are looking to sell your land then there are a number of potential ways to go about this:

  • A straightforward sale of the property. This is the traditional method of sale and would be unconditional i.e. would not have any contractual conditions attached to the sale.
  • A sale by way of a conditional contract. This is where the buyer (it is usually the buyer that wants to place a condition upon completion) is not obliged to complete the purchase until a specified condition has occurred.
  • An option granted to the buyer to purchase the property provides less certainty for a seller as the buyer will usually be under no obligation to exercise the option. He may choose to do so, or may not.
  • A promotion agreement is an agreement entered into with an intermediary (a promoter or strategic land company) who will seek to obtain (at their own cost and risk) planning consent for the property and then look to arrange a sale of the property to a developer. The intermediary then receives a percentage of the sale proceeds upon the sale to the developer.
