When advising on the sale of commercial property we can help you with the following:

  • Heads of Terms - We can assist with negotiating and agreeing heads of terms to best protect the seller’s position from the outset of a transaction.
  • Due Diligence - We will carry out a comprehensive fact-finding mission from the start of the transaction which enables us to:
    • provide the seller with advance warning of any matters which may require further investigation (for example whether any capital allowances have been claimed and the status of any occupational leases), with a view to preventing delays further along in the transaction; and
    • provide comprehensive information to the buyer from the outset to minimise enquiries and delays.
  • Title Investigation - We will investigate the title to the property at the beginning of a transaction. This means we can anticipate any problems and enquiries the buyer may raise and discuss these with you so that we can work together to resolve the issues as quickly as possible and help the sale to move smoothly.
  • Contractual Protection - We can advise sellers on contractual provisions which may be necessary to protect their position, including conditional contracts and overage.
  • Sales Pack & Legal Documents - We will prepare a full contract and title pack to facilitate the smooth progress of the sale.
  • Third Party Consents - We will anticipate any requirements for consents, for example, a licence to assign if the subject property is leasehold, and will make approaches to the relevant parties at an early stage in the transaction so as to minimise the potential for delays.
  • Enquiries - We will deal with enquiries from the buyer in a timely and efficient manner and ensure that the seller is informed of progress throughout the transaction.
  • Post-completion - We will ensure that monies are dealt with efficiently at the end of the transaction and that any required notices are served.

Corporate Disposals - We also work closely with our corporate colleagues to deal with the property aspects of corporate disposals following the same approach as outlined above to assist in making the disposal process as streamlined and straightforward as possible.  We also advise sellers upon the effect and extent of any warranties and other confirmations to be given in the sale agreement.
