  • Advising on the heads of terms agreed for the purchase
  • Advising on the purchase structure in conjunction with your other advisers e.G. Should the property be purchased in your own name, joint names with others, through a limited company, a llp or a private pension scheme
  • Dealing with the investigation of the title to the property
  • Carrying out all necessary property searches in relation to the property
  • Raising the appropriate enquiries of the seller to ascertain the required level of information about the property
  • Ensuring that the property has the necessary licences to be able to operate

  • Dealing with the stamp duty land tax formalities

Examples of our recent work include the following:

  • Acting for Hammerite, who are part of the Akzo Nobel group of companies, in connection with their sale of a manufacturing facility in Northumberland. Their manufacturing plant at Prudhoe was sold to a purchaser who had agreed to carry on the same industrial process at the factory, producing the Waxoyl product for Hammerite under licence. We were acting alongside the in-house commercial legal team at Akzo Nobel who dealt with the commercial aspects of this transaction, including the grant of licences for the continuing manufacturing of the product and the commercial agreements for the sale of the product by the new purchaser. The in-house team at Akzo Nobel also dealt with employment matters and the transfer of necessary plant and machinery for the continued manufacturing at the site. We were involved in the sale of the property, subject to an initial lease-back of the property so that Hammerite could continue the manufacturing process, subject to a handover to the new manufacturers. The site includes large amounts of open land and the sale was made subject to overage obligations in the event that the site was re-developed within an agreed time.
  • Acting for a textile manufacturer in their acquisition of an industrial site in Leicestershire for the processing of high quality clothing material. The transaction involved an initial purchase and then lease-back to the previous owner. The transaction also allowed for the relocation of the previous owner’s plant and machinery and for a phased preparation for the installation of equipment at the property for the new manufacturing process, which will be carried out by our client.
  • Acting for our landlord client in the grant of lease to a major manufacturer of engineering products, including components for aircraft assembly and high tech components. During the grant of this lease, we had to pay particular attention to the power sources required for the tenant’s particular needs.
