Phil advises businesses and their owners on a wide range of corporate and commercial issues, with a particular focus on the Tech and IT sectors.

Corporate issues Phil regularly advises on include mergers & acquisitions, lending & security arrangements, shareholders’ agreements, options and partnership/LLP agreements & dissolutions.

Phil also regularly advises on high-value software development, licensing, hosting and support arrangements (including software as a service) and software distribution.

Philip studied English at the University of Nottingham before completing his professional, legal qualifications in Manchester. He joined Myerson in 2012 after carrying out his training at Druces LLP, a respected commercial law firm in the City of London.

  • A share sale by the shareholders of J2 Systems Technologies Limited to French-listed company Aures Technologies SA
  • Advising a company secretarial services firm in relation to a share sale and new shareholder arrangements, including complex EMI arrangements, shareholders’ agreement and articles of association
  • Advising a number of lenders in relation to secured lending to facilitate a property development
  • Advising a partner in a partnership of chartered surveyors in relation to the dissolution of the partnership
  • Advising continuing shareholders in relation to the purchase of shares from a dissenting shareholder

  • Regularly advising a software house in the insurance sector in relation to multi-million pound software licensing and support contracts
  • Advising in relation to high value procurement and consultancy agreements
  • Advising a client in the audiology sector in relation to software licensing and support arrangements and associated hardware purchases/sales
