Sale of Client's interests in Lime Square, Manchester

Our real estate solicitors acted in connection with the sale of most of our client’s interest in Lime Square, Openshaw, Manchester, to an institutional investor in a multi-million-pound deal.  Lime Square is a multi-let food and non-food retail/leisure park occupied by tenants such as B&M, Poundland, Costa, The Gym, Greggs and Farm Foods. The transaction was complex and involved the disposal of our client’s interest in approximately 30 leases and a lease back to our client of parts of the site.

Refinancing and redevelopment of the flagship One and Two Express buildings in Ancoats, Manchester.

Our commercial property lawyers acted for our investor client in relation to the purchase, refinancing and redevelopment of the flagship One and Two Express buildings in Ancoats, Manchester. 

Akzo Nobel Group

Our real estate lawyers have acted for the Akzo Nobel Group for over ten years, and we currently deal with all of their property requirements. In recent times, this has been particularly focused on the company’s retail expansion plan for its Dulux Decorator Centre brand. We worked with landowners and developers to secure new sites/relocation sites on the completion of either initial construction or redevelopment work.

Promotion of a substantial parcel of greenfield land for residential development

Our commercial property solicitors acted on behalf of a land promoter client in relation to the promotion of a substantial parcel of greenfield land for residential development. We subsequently acted for both the promoter and the landowner in connection with the sale to Taylor Wimpey for a substantial eight-figure sum. The site provided for approximately 1,600 new homes and 55 acres of employment land.

Refinancing of the Marshall’s Yard Development

Marshalls Yard Limited is a joint venture between Dransfield Properties and Prospect Estates, the team behind Marshall’s Yard, a landmark mixed-use regeneration scheme in Gainsborough, Lincolnshire.

Case Overview

Myerson advised long-standing client Marshalls Yard Limited on the refinancing of the Marshall’s Yard development. Originally a former industrial site, Marshall’s Yard has been transformed into a successful town centre destination, combining retail, leisure, and office space within a restored heritage setting.
Our Real Estate team worked alongside the client’s in-house legal function and external advisors, including Rothschild & Co (acting under its investment management mandate with Just Group plc), to support the refinancing. The transaction marks the latest phase in the evolution of the site, which continues to attract national and independent occupiers alike.

Securing a commercial lease for a wellness and reformer pilates studio in Stockport

Client Intro

Ellie Downie MBE is a former Olympic gymnast and the founder of Embrace Wellness Studio, a growing wellness brand with locations in Greater Manchester. Following the successful launch of her first studio in Old Trafford, Ellie identified Stockport town centre as the next step in the brand’s expansion.

Case Overview

Myerson advised Ellie Downie MBE on the grant of a commercial lease for the opening of a second Embrace Wellness Studio in Stockport.

The new premises will support the continued growth of Embrace Wellness, providing a dedicated space for a wide range of fitness and wellness classes and strengthening the brand’s presence in the North West. The transaction represents a key milestone in the development of the business as it expands into new locations.

Myerson’s Commercial Property team advised on all aspects of the lease, working closely with Ellie and the letting agents, MBRE, to ensure the transaction progressed smoothly and completed within the required timeframe. The team provided practical, commercially focused advice to ensure the lease terms aligned with the operational needs and future plans of the business.

The successful completion of the lease enabled the studio to open in January 2026, allowing Ellie to focus on launching the new site and continuing to grow the Embrace Wellness community.

AQA is a UK-based education charity that designs, delivers and assesses academic qualifications, including GCSEs and A-levels. As the largest provider of these qualifications in England, AQA sets and marks over half of all GCSE and A-level exams.

Acquisition of New-Build Site for Saint Flooring

Client Intro

Saint Flooring is a floor finishing and interior design specialist, delivering high-quality solutions across commercial and residential sectors.


Case Overview

We acted for Saint Flooring in connection with its acquisition of a new-build site at Winsford Industrial Estate from Rula Developments for its new headquarters, together with associated development arrangements and financing.


The transaction formed part of a £4 million investment in the business, supporting its continued growth and expansion, including the creation of new jobs and increased operational capacity.


From a legal perspective, the deal was complex, involving a conditional purchase of part of a wider development site. We carried out detailed title, planning and environmental due diligence and negotiated the key transaction documents, including the conditional contract, transfer of part and development agreement.


The site was subject to third-party rights, including buy-back and pre-emption provisions, as well as planning conditions and environmental considerations. We worked closely with the client and its funder to align the acquisition, development and financing elements, enabling the successful delivery of a strategically important new headquarters.

Acquisitions, Disposals and Refinancing Transactions for Hallmark Developments

Client Intro

We acted for Hallmark Developments (North West) Ltd and its group companies on a range of acquisitions, disposals and refinancing transactions across their property portfolio.


Case Overview

We have advised Hallmark Developments and its group on a series of multi-asset transactions.
Key matters included the sale of Ravenhead Industrial Estate in St Helens for £5.6 million to Northern Trust, a multi-let industrial investment comprising six warehouse units ranging from 6,800 sq ft to 18,500 sq ft. We also negotiated a new lease arrangement as part of the transaction. The deal involved a complex ownership structure across group entities and required careful management of title restrictions, including third-party consents.


We were also instructed on the purchase of Littleborough Industrial Estate, Rochdale, acting for both the purchaser and its lender. This transaction involved addressing environmental considerations and structural title issues associated with a long leasehold interest.


Across these transactions, we worked closely with the client to manage risk, coordinate stakeholders and deliver commercially effective outcomes in support of its ongoing investment strategy.

Acquisition of Entire Issued Share Capital for Marco Axis Limited

Client Intro

Marco Axis Limited is a joint venture between Axis-RE and Marco Living, focused on delivering large-scale residential and mixed-use developments.


Case Overview

We acted for Marco Axis Limited in connection with the acquisition of the entire issued share capital of a development company owning a landmark site in Lancaster city centre, together with the associated refinancing.


The site forms part of the wider Canal Corridor regeneration scheme, a significant project aimed at transforming a key area of the city into a vibrant mixed-use destination. The development is expected to deliver a range of uses, including residential, healthcare, education and leisure, and act as a catalyst for further regeneration in the area.


Our role involved working closely with our Corporate team to deliver the transaction, including carrying out property due diligence, advising on site assembly and development constraints, and negotiating the property aspects of the share purchase agreement. We also advised on the real estate elements of the refinancing.


This strategically important acquisition supports a multi-year development programme, with a projected gross development value of approximately £100 million.

Sale of Industrial Estate for Marnshaw Limited

Client Intro

Marnshaw Limited is a property investor with a portfolio of industrial assets across the North West.

 

Case Overview

We acted for Marnshaw Limited in connection with the sale of Bridge Trading Estate in Bury, a 49,880 sq ft multi-let industrial estate generating an annual rental income of approximately £397,000.


The estate comprises ten industrial units let to a diverse tenant base, making it an attractive income-producing investment. The transaction required careful coordination across multiple workstreams, including the transfer of occupational leases, rent deposits and associated property interests.


We advised on all aspects of the disposal, including negotiating the sale documentation, managing extensive due diligence enquiries and dealing with the apportionment of rental income and tenant-related arrangements on completion.


Having supported the client with landlord and tenant matters at the estate for a number of years, we were able to bring detailed knowledge of the asset to the transaction, helping to ensure a smooth and efficient sale process.

Complex Relocation to New Campus for OneSchool Global

Client Intro

OneSchool Global is an international independent school with campuses across the UK and worldwide.


Case Overview

We acted for OneSchool Global in connection with its relocation to a new, state-of-the-art campus in Northwich, involving the sale of its existing site at Hartford Manor and the acquisition of Osborne Court at Gadbrook Park.


The transaction was structurally complex, with the new site comprising two parcels of land owned by separate entities. The acquisition was conditional on securing planning permission for change of use and refurbishment works, while the sale of the existing school site was also linked to completion of the purchase. We carefully structured and negotiated the contracts to ensure all key dates aligned, including planning conditions, long stop dates and completion deadlines.


Timing was critical, as the client needed to complete the acquisition and carry out refurbishment works in advance of the new academic year. We worked closely with the client to ensure the transaction completed within the required timeframe, enabling a smooth transition to the new campus.

Agreement for Lease of Land for E.ON Drive Infrastructure UK Limited

Client Intro

E.ON Drive Infrastructure UK Limited is a leading operator of electric vehicle charging infrastructure, delivering and managing networks across the UK and Europe.


Case Overview

We acted for E.ON Drive Infrastructure UK Limited in connection with an agreement for lease of land at a garden centre in Lichfield, Staffordshire, for the installation and operation of electric vehicle charging points and associated infrastructure.


The transaction involved a conditional agreement for lease for a long-term letting, supporting the rollout of EV charging infrastructure at the site. The deal required coordination with multiple stakeholders, including the site operator and the local distribution network operator.


A key complexity arose from the landlord’s leasehold title, which required restructuring to accommodate the proposed letting and associated infrastructure. We advised on the necessary variations and arrangements to ensure the transaction could proceed and support the long-term operation of the site.
Through this work, we supported the delivery of new EV charging infrastructure as part of the wider transition to sustainable transport.
