Supporting H2Origin in contracting for sustainable success
Myerson Solicitors assisted a Manchester-based start-up, H2Origin, in designing and developing the contract which will establish the structure of its key partner relationships. With the help of Myerson’s Commercial Team, H2Origin has finalised an equitable contract model that is a key selling point.
H2Origin, founded in 2022, is on a mission to reduce single-use plastic waste. With an ever-increasing focus on wellbeing and sustainability, more of us are carrying refillable water bottles, but the infrastructure to support refilling is still lagging way behind. H2Origin’s water vending kiosks triple filter and chill water, providing a premium, and sustainable alternative to buying chilled bottled water.
Dominic, from H2Origin said:
‘H2Origin Ltd has a simple, but hugely important mission – To reduce the colossal environmental impact of imported bottled water by bringing chilled, filtered H20 originating from sources across the UK directly to your refillable water bottles. An early priority for the business was to develop a managed service contract model which facilitated the installation of our water vending kiosks in high footfall locations, such as visitor attractions, shopping centres, universities and work hubs.
Carefully working through the key objectives with the Myerson’s Commercial team, we've arrived at a clear and equitable contract model which is a key selling point as we gain traction in the market. As a client, I found the process well considered, efficient and excellent value - just what's needed for a start-up!’
As the concept of refilling and reuse become mainstream, H2Origin views its innovative commercial approach as being one of the fundamental strengths of its proposition, building interest and engagement with Building and Facilities teams committed to improving hydration facilities and reducing plastic waste as part of ESG strategies.
Richard Meehan, a Senior Associate in Myerson’s Commercial Team, stated:
‘H2Origin approached Myerson with the objective of developing a suitable form of model agreement for use between H2Origin and its clients, the owners of the properties at which its water dispensing vending units will be installed. We have supported H2Origin with the assessment of potential alternative contracting models, identifying and analysing legal risks associated with the proposed operations, and the preparation of model contract documentation.
I was delighted to have the opportunity to support Dominic with this innovative new business, particular since its environmentally sustainable ambitions align with Myerson’s own ESG objectives. From a personal perspective, having worked on a range of concession/ vending machine agreements over the years, but predominantly from the perspective of the property owner rather than the operator of the machines, it has been good to use my prior experience to provide practical commercial insight into the arrangements, which has influenced the drafting of the model document.’
Helping Safer Sphere Group Ltd in commercial and intellectual property matters
Client Intro
Safer Sphere Group Ltd is a national provider of health and safety, Building Safety Act and construction compliance consultancy services, including SaaS-based platforms supporting regulatory compliance.
Case Overview
We have advised Safer Sphere on a range of commercial and intellectual property matters relating to its core software platforms and wider business-critical systems.
A key focus of our work has been ensuring Safer Sphere has full ownership and control of the intellectual property in its platforms. This included negotiating assignments of IP rights from third-party developers and addressing complexities arising from the use of open-source components and third-party software.
We also advised on the contractual framework governing the ongoing development and support of Safer Sphere’s systems, ensuring the arrangements were robust, scalable and aligned with the business’s operational needs. This required careful drafting around service delivery, ownership of newly developed IP and commercial protections on termination.
By working closely with Safer Sphere, we have helped strengthen its legal position in respect of its technology assets and ensured its contractual arrangements support continued growth.
“When a business is built around its technology, clarity over ownership and control is critical. We worked closely with Safer Sphere to put the right framework in place for long-term growth.” – Richard Meehan, Partner
Supporting Wuva Ltd in developing contractual framework
Client Intro
Wuva Ltd is a technology start-up offering flexible rental options for consumer goods through an online platform.
Case Overview
We have supported Wuva in developing its contractual framework as its platform and business model have evolved. This included advising on customer-facing terms and agreements with brand partners, ensuring the structure reflected how the platform operates in practice. In particular, we helped define the relationship between Wuva, its customers and suppliers, where ownership and contractual responsibilities sit across different parties.
We also advised on relevant regulatory considerations arising from the business model, working closely across our Commercial and Financial Services teams to ensure a compliant and scalable approach.
“For growing tech businesses, getting the contractual framework right early on is crucial. We worked with Wuva to create a structure that supports both its platform model and future growth.” – Richard Meehan, Partner
Negotiating a high-value agreement for Cash and Carry Kitchens
Client Intro
O.R.M. Unlimited Company, trading as Cash and Carry Kitchens, is a kitchen supplier operating across Ireland, providing design, manufacture and delivery services.
Case Overview
We advised O.R.M. on the negotiation of a high-value agreement for the supply and installation of manufacturing equipment with an international supplier. Our role included reviewing and reporting on the proposed contract, preparing a tailored set of negotiation points, and supporting the client through discussions with the supplier and its legal team.
The transaction had a cross-border element and involved multiple entities within the supplier group delivering different aspects of the contract. This required careful structuring of responsibilities and clear allocation of risk, particularly in relation to delivery, installation and performance of the equipment.
We worked closely with the client to ensure the final agreement reflected its commercial priorities and provided appropriate protection in a complex, high-value procurement.
“In complex supply arrangements like this, clarity around responsibility and risk is critical. We worked with the client to ensure the contract reflected how the project would operate in practice.” – Richard Meehan, Partner
Advising commercial and data protection matters
Client Intro
Our client is an international technology business providing software and systems to customers across multiple jurisdictions, including Australia and New Zealand.
Case Overview
We advised the client on a range of commercial and data protection matters in connection with the rollout of its services in the UK.
This included adapting existing overseas customer terms for use in the UK, preparing data processing documentation, and advising on compliance with UK data protection laws. The work required careful consideration of international data flows between the UK, Australia and New Zealand, particularly given the absence of an adequacy decision for certain transfers.
We also supported the client in establishing its UK presence, including corporate setup and employment documentation, ensuring the business was positioned to operate effectively in a new market.
Working alongside specialist advisers where appropriate, we helped the client implement a compliant and commercially practical framework for its UK operations.
“When supporting international businesses entering the UK market, it’s essential to align legal compliance with how the technology operates in practice. We focused on delivering a framework that achieved both.” – Richard Meehan, Partner
Developing international supply framework for medical devices supplier
Client Intro
Our client is a supplier of medical devices, sourcing products internationally for distribution to healthcare providers in the UK.
Case Overview
We advised the client on the development of a bespoke international supply agreement for use with its overseas suppliers.
A key aspect of the work involved reviewing the impact of standard purchasing terms used by major UK healthcare customers and ensuring that the client’s upstream supply arrangements aligned with these requirements. This required a clear understanding of how risk is allocated across the supply chain and the commercial realities of supplying into a highly regulated sector.
We worked closely with the client to develop a contractual framework that balanced compliance with commercial flexibility. To support implementation, we also prepared a practical negotiation guide to assist the client in discussions with international suppliers and manage common areas of negotiation.
“When businesses operate across complex supply chains, it’s important that their contracts work seamlessly from supplier through to customer. We helped the client put in place a framework that supports that end-to-end approach.” – Richard Meehan, Partner
